Welcome to uSTADIUM. These Terms of Service ("Terms") govern your access to and use of the uSTADIUM website, the Primetime Parlays game, and all related services (collectively, the "Platform") operated by NextGen Social Sports, Inc. ("uSTADIUM," "we," "us," or "our"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
You must be at least 18 years of age to use the Platform. By using the Platform, you represent and warrant that you meet this age requirement and that you have the legal capacity to enter into these Terms. The Platform may not be available in all jurisdictions. You are responsible for ensuring your use complies with applicable local laws.
Certain features may require you to create an account. You agree to provide accurate and complete information during registration and to keep this information current. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Primetime Parlays is a free-to-play prediction game. No real money is wagered, won, or lost through gameplay. uCOINS are virtual currency used within the Platform and hold no cash value. uCOINS cannot be exchanged, transferred, or redeemed for real currency, cryptocurrency, or any monetary equivalent. We reserve the right to modify, reset, or remove uCOINS balances at any time without notice or liability.

All content on the Platform — including text, graphics, logos, the uSTADIUM and Primetime Parlays names and marks, images, software, and user interface design — is the property of NextGen Social Sports, Inc. or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, or publicly display any content from the Platform without our prior written consent.
By submitting content to the Platform (including predictions, usernames, comments, or shared receipts), you grant uSTADIUM a non-exclusive, worldwide, royalty-free, transferable license to use, display, reproduce, modify, and distribute that content in connection with operating and promoting the Platform. You represent that you own or have the necessary rights to grant this license and that your content does not violate any third-party rights.
The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the Platform will be uninterrupted, error-free, or secure. Predictions, rankings, and game results displayed on the Platform are for entertainment purposes only and should not be construed as gambling or financial advice. uSTADIUM is not a sportsbook and does not facilitate real-money betting of any kind.
To the maximum extent permitted by applicable law, NextGen Social Sports, Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform. Our total aggregate liability for any claim arising from these Terms or the Platform shall not exceed one hundred dollars ($100).
You agree to indemnify, defend, and hold harmless NextGen Social Sports, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.
We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised "Last Updated" date. Your continued use of the Platform after any modifications constitutes your acceptance of the revised Terms. Material changes will be communicated through the Platform or via email where possible.
We may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform ceases immediately, and any uCOINS or virtual items associated with your account may be forfeited.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms or the Platform shall be resolved in the state or federal courts located in the State of New York, and you consent to the personal jurisdiction of such courts.
