Welcome to uSTADIUM. These Terms of Service ("Terms") govern your access to and use of the uSTADIUM website, the STAKEZ game, our events pages and store, and all related services (collectively, the "Platform") operated by NextGen Social Sports, Inc. ("uSTADIUM," "we," "us," or "our"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform. Our Fair Play page describes how the game works in plain words; if it differs from these Terms, these Terms control.
You must be at least 18 years of age to use the Platform. When you create an account you enter your date of birth and confirm that you are 18 or older; we do not create accounts for anyone under 18, and we will close any account we learn belongs to someone under 18. By using the Platform, you represent and warrant that you meet this age requirement and that you have the legal capacity to enter into these Terms. You may hold one account. The Platform may not be available in all jurisdictions and is void where prohibited. You are responsible for ensuring your use complies with applicable local laws.
Certain features require you to create an account. You agree to provide accurate and complete information during registration, including your date of birth, and to keep this information current. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately at info@ustadium.com if you suspect unauthorized access.
STAKEZ is offered as an open beta. Features, rules, prices, boards, and contests may change, be added, or be removed as we develop the game; the Platform may be interrupted or unavailable; and balances, standings, positions, and records may be adjusted or reset. We will tell you about material changes through the Platform where we reasonably can. Nothing in the beta creates any right to a feature, a balance, a standing, or continued availability.
STAKEZ is a free game. No purchase is necessary to use the Platform, and nothing in the game can be bought with money. No real money is wagered, won, or lost through gameplay. uBUCKS are virtual currency used within the Platform and hold no cash value. uBUCKS cannot be purchased, sold, exchanged, transferred to another user, or redeemed for real currency, cryptocurrency, goods, services, or any monetary equivalent. uBUCKS are not property, and you have no ownership interest in them. We reserve the right to modify, reset, or remove uBUCKS balances at any time without notice or liability.
The Platform awards no prizes. Standings, rankings, marks on your profile, and any other recognition have no monetary value and cannot be exchanged for anything.
Player prices are set by uSTADIUM from published performance statistics and a consensus valuation through a formula we control. Prices do not move because of what users buy or sell. Every trade is made with uSTADIUM at the posted price, which may include a spread, and daily limits cap how far a price can move. Head-to-head Battles are contests between two accounts, or between an account and uSTADIUM, in which each side stakes an equal number of uBUCKS on a roster it already holds; the roster that scores more points under the published rules receives both stakes, and uSTADIUM takes no share of a Battle between users. A Battle that cannot be scored fairly may be voided with both stakes returned. We may correct scoring errors, void contests, and adjust results and balances to keep the game fair. STAKEZ is not a sportsbook: it offers no odds and takes no wagers on the outcome of any event.

Separately from the game, we sell tickets to events and merchandise through our events pages and our store. Those purchases are made in real money through our payment processor, are not connected to uBUCKS or to gameplay in any way, and are subject to the prices and any taxes shown at checkout. All content on the Platform, including text, graphics, logos, the uSTADIUM, STAKEZ, and Primetime names and marks, images, software, and user interface design, is the property of NextGen Social Sports, Inc. or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, or publicly display any content from the Platform without our prior written consent.
By submitting content to the Platform (including takes, posts, comments, usernames, or shared receipts), you grant uSTADIUM a non-exclusive, worldwide, royalty-free, transferable license to use, display, reproduce, modify, and distribute that content in connection with operating and promoting the Platform. You represent that you own or have the necessary rights to grant this license and that your content does not violate any third-party rights.
The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the Platform will be uninterrupted, error-free, or secure. Player prices, rankings, and game results displayed on the Platform are for entertainment purposes only. They are not investment, financial, or betting advice, and they are not an offer to buy or sell anything. uSTADIUM is not a sportsbook and does not facilitate real-money betting of any kind.
To the maximum extent permitted by applicable law, NextGen Social Sports, Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform. Our total aggregate liability for any claim arising from these Terms or the Platform shall not exceed one hundred dollars ($100).
You agree to indemnify, defend, and hold harmless NextGen Social Sports, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.
We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised "Last Updated" date. Your continued use of the Platform after any modifications constitutes your acceptance of the revised Terms. Material changes will be communicated through the Platform or via email where possible.
We may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform ceases immediately, and any uBUCKS or virtual items associated with your account may be forfeited. Because uBUCKS have no value, no refund or compensation is owed for forfeited balances.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms or the Platform shall be resolved in the state or federal courts located in the State of New York, and you consent to the personal jurisdiction of such courts.
